1. Introduction
These Terms & Conditions (“Terms”) govern the provision of services by StarScale Ltd (“StarScale”, “we”, “us”, or “our”).
By engaging our services, signing a proposal, or making payment for services, you (“Client”, “you”) agree to be bound by these Terms.

3. Services
StarScale provides digital marketing services including but not limited to:
Local SEO
On-Page SEO
Technical SEO
Conversion Optimisation
Strategy and consultancy
Specific deliverables will be outlined in a separate proposal or agreement.
We reserve the right to modify service methodologies where necessary to achieve best results.
4. Engagement & Acceptance
A contract is formed when:
The Client signs a proposal or agreement; and/or
The Client makes payment for services.
All proposals are subject to acceptance and may be withdrawn at any time prior to agreement.
5. Fees & Payment
Fees are outlined in the agreed proposal.
Unless otherwise stated:

Payment is required in advance of service commencement.

Services will not begin until cleared funds have been received.

All invoices must be paid in full by the due date stated.
In the event of non-payment:

We reserve the right to suspend or terminate services immediately.

Access to deliverables or accounts may be withheld until outstanding balances are settled.
We reserve the right to charge statutory interest on overdue invoices under the Late Payment of Commercial Debts (Interest) Act 1998.
6. Term & Termination
Unless otherwise agreed:
Services operate on a rolling monthly basis.
Either party may terminate with 30 days’ written notice.
Upon termination:
Outstanding fees remain payable.
Access to accounts and deliverables may be revoked if unpaid.
7. Client Responsibilities
The Client agrees to:
Provide accurate and complete information
Provide necessary access to relevant systems
Cooperate in a timely manner
Not interfere with technical implementations
Delays caused by the Client may impact results and timelines.
8. No Guarantees
SEO is a long-term strategy.
While we aim to improve visibility and enquiry generation, we do not guarantee:
Specific rankings
Specific traffic volumes
Specific revenue outcomes
Search engines operate independently and may change algorithms without notice.
9. Intellectual Property
Unless otherwise agreed:
The Client retains ownership of their website and business assets.
StarScale retains ownership of proprietary methodologies, processes, and internal documentation.
Upon full payment, deliverables created specifically for the Client may be used by the Client for their business.
10. Use of Contractors
We may engage third-party contractors or freelancers to deliver services.
Such parties are bound by confidentiality obligations.
StarScale remains responsible for managing and overseeing service delivery.
11. Confidentiality
Both parties agree to keep confidential any non-public business, financial, or technical information disclosed during the engagement.
This obligation continues after termination.
12. Limitation of Liability
To the fullest extent permitted by law:
Our total liability under any agreement shall not exceed the total fees paid by the Client in the preceding 3 months.
We shall not be liable for indirect, incidental, or consequential losses, including loss of profit or business opportunity.
Nothing in these Terms limits liability for death, personal injury, or fraud.
13. Data Protection
Both parties agree to comply with applicable data protection laws.
Personal data will be processed in accordance with our Privacy Policy.
14. Suspension of Services
We reserve the right to suspend services where:

Payment is overdue

The Client breaches these Terms

Access to required systems is revoked
Suspension does not waive payment obligations.
15. Force Majeure
We shall not be liable for failure or delay in performance due to circumstances beyond reasonable control, including but not limited to:
Internet outages
Platform changes
Government actions
Natural events
16. Governing Law
These Terms are governed by the laws of England and Wales.
Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
